Formation

one time

State fees included. No hidden costs.

Everything you need to start invoicing with your American company.

  • Formation of your LLC in the state you choose, filed with the official registry.
  • EIN included: your company's tax number with the IRS, which you need to open an account and get paid.
  • Registered agent for the first year: an official US address for legal notices, without putting your home address on the public record.
  • Operating Agreement: the document that sets out ownership and how your LLC runs, and that banks ask for.
  • Guidance on opening your bank account: which documents to prepare and how to present your application.
  • Your client area: follow each step of the process and download your documents whenever you want.

You can also pay with cryptocurrency. Send us a message to arrange it.

Annual maintenance

$500

per year, from the second year

Your company stays in good standing, without you having to watch the deadlines.

  • Registered agent renewal, so your official address stays in place.
  • Wyoming annual report and its fee, filed on time so your LLC keeps its good standing.
  • Notices before each deadline, by email and in your client area.
  • Form 5472 guide and template, so you can meet the IRS requirement each year.

It is charged automatically before each anniversary of your company. We let you know ahead of time.

How it works

Everything online, in your language, and without travel. This is the process from the day you engage us.

  1. 1

You engage us and send your details · 10 minutes

You choose the state, pay, and complete a form with the company and member details. We ask for each member’s passport.

  2. 2

We form your LLC · 1–5 business days (Delaware: about 2 weeks)

We review your details and file the formation with the state. When it is approved, your client area holds the Articles of Organization stamped by the state: the document that shows your company exists.

  3. 3

You sign your Operating Agreement · the same day

We prepare the internal contract of your LLC with your details. It sets out who owns it and how it runs. You sign it online from your client area. Banks ask for this document.

  4. 4

You sign the EIN application · 1 minute

We prepare Form SS-4 for the IRS. You only sign it online, and we file it.

  5. 5

You receive your EIN and open your account · 4–8 weeks

The IRS issues your tax number (EIN). We upload it to your client area and give you the guide for opening a bank or payments account. Applications without a US Social Security number are processed by hand, which is why this step takes the longest.

Estimated total time: 5–8 weeks until your LLC is operating with an EIN. Timing depends on the state and the IRS. We email you at each step.

What you need to start

  • A valid passport for each member.
  • The name you want for your company (and an alternative, in case it is not available).
  • Member details: name, address, email and ownership percentage.
  • A short description of your activity.

You do not need a Social Security number (SSN), an ITIN, or a trip to the United States.

Worth knowing

Tax in your country. Your LLC has tax obligations in your country of residence, and those depend on its rules. Filing there is your responsibility: we recommend using your usual adviser, and we give you the full LLC file so their work is easier.

Form 5472. Each year, before 15 April, your LLC must file this information return with the IRS. We remind you in advance and give you a guide and a template.

Bank account. We help you prepare the application, but each bank or platform decides whether to open the account.

Renewal. Maintenance is charged automatically 100 days before your company’s anniversary, so the filings are made in time. We tell you before the charge, and you can cancel it whenever you want from your client area.

Frequently asked questions

Do I have to travel to the United States?

No. The whole process is online, and most bank and payments accounts do not require travel either.

Do I need an SSN or an ITIN?

No. We form your LLC and obtain the EIN without a Social Security number or an ITIN.

Will my name appear on the public record?

In Wyoming, New Mexico and Delaware the members do not appear on the state’s public record. The official address of your company is our registered agent’s address, not your home.

What is the registered agent?

It is the person or firm, required by law, that receives official notices for your company in the state. We scan whatever arrives and upload it to your client area.

Which documents do I receive?

Articles of Organization stamped by the state, the signed Operating Agreement, the signed SS-4 application and the IRS letter with your EIN. All of them are PDFs you can download from your client area.

How long does it take?

The LLC is formed in 1–5 business days (Delaware: about 2 weeks). The EIN arrives in 4–8 weeks. In total, between 5 and 8 weeks.

What tax does my LLC pay?

In the United States, a single-member LLC owned by a non-resident with no activity in the country usually pays no federal income tax, but it must still file Form 5472 each year. Tax in your country of residence depends on its rules. We explain the possible situations in a conversation, and the filing there is done with your adviser.

What happens if I do not renew maintenance?

Your LLC is left without a registered agent and without the yearly filings, and the state can end up dissolving it. If you decide to close or move the company, write to us and we will explain how to do it properly.

Can I pay with cryptocurrency?

Yes. Write to us and we will tell you how.
